TozziniFreire advised DFB on financing Ownerinc Developers

TozziniFreire Advogados advised DFB Brasil Participações funded the total amount of BRL 20 million into Ownerinc Developers, to develop in the City of Gramado, RS, two real estate projects, innovating the concept of timesharing in the Brazilian luxury real estate market.

Gramado will host the first ever Brazilian home club which will be managed by two traditional Brazilian hotel operators, Casa Hotéis and Intercity Hotels.

Hybrid transaction consisted in a private placement of common shares issued by Ownerinc Developers in the amount of R$10,0 million and a convertible loan in the same amount of money into equity. DFB Brasil Participações funded both private placement and convertible loan, totalizing R$20,0 million.
