TozziniFreire advises Telefônica on FiBrasil deal
TozziniFreire advised Telefônica Brasil on the acquisition of the remaining minority stake in Fibrasil Infraestrutura e Fibra Óptica, becoming the sole shareholder of the fiber optic infrastructure company.
The transaction consisted of the acquisition by Telefônica Brasil of 791,251 common shares issued by FiBrasil, representing 24.99% of the company’s total and voting share capital, previously held by Telefónica Infra, S.L. Unipersonal.
The purchase was carried out under a Share Purchase Agreement entered into on May 18, 2026. Following the transaction, Telefônica Brasil, which previously held 75.01% of FiBrasil’s share capital, now holds 100% of the shares in the company. The purchase price, totaling BRL 458,719,774.51, was paid in full in Brazilian currency by Telefônica Brasil to Telefónica Infra on the signing date.
TozziniFreire advised Telefônica Brasil throughout the transaction. The team was led by Mirella Mie Abe, partner, together with Sara de Pádua Abdu and Ana Carolina Gaspar.
