Trench Rossi Watanabe advises Brazilian part of Marel’s acquisition of Wenger

 

Trench Rossi Watanabe advised Marel, the leading global supplier of food processing equipment, systems and software, on the Brazilian part of the acquisition of Wenger Manufacturing, a world leader in pet food, vegetable protein and aquafeed processing solutions.

The transaction was valued at $540 million and coordinated globally by Baker McKenzie, with which Trench Rossi Watanabe has a strategic cooperation agreement for foreign law consulting.

The deal is still subject to the usual closing conditions, such as antitrust analysis and approval by Wenger’s shareholders. With the operation, Marel expects to leverage 10% of its total revenue and 12% of its EBITDA. The acquisition is fully aligned with the company’s growth strategy between 2017 and 2026, targeting an average annual revenue increase of 12% through a balance between organic growth and acquisitions.
