Two firms act in investment in Cosan by Bradesco BBI
Pinheiro Guimarães Advogados advised Bradesco BBI in investment in Cosan Dez Participações, a holding company holds all of the shares issued by Compass Gás e Energia previously held by Cosan (representing a 88% stake in Compass), wich was advised by Pinheiro Neto Advogados.
Bradesco BBI S.A. subscribed the total amount of BRL 4 bilion in preferred non-redeemable shares, which represent approximately 23% of the total share capital of Cosan Dez Participações.
On the same date, a Shareholders’ Agreement and a Voting Agreement were also entered into by Bradesco BBI S.A. and Cosan S.A., establishing governance rules of Cosan Dez Participações S.A. and other conditions usual in this kind of transaction. The transaction occurred in the context of the acquisition by the Cosan group of a stake in Vale S.A.
