Two firms act in the acquisition of B&F by GEF
Madrona Fialho Advogados advised GEF on the acquisition of 30% of B&F‘s capital stock, which was advised by TozziniFreire Advogados.
A call option was granted and if exercised, could increase GEF’s shareholding in the company.
B&F is a company whose main activity is the industrialization, trade, import and export of mechanical products, equipment and systems for water treatment, liquid and gas effluents and solid residues.
It operates, therefore, in a sector in full development in Brazil, given its social appeal and the support in the new legal sanitation framework approved in 2020.
The GEF, in turn, is a private equity fund focused on investments that seek to contribute to the construction of a more sustainable future.
Therefore, GEF’s investment in B&F seeks to promote the company’s operational efficiency in a branch of activity with enormous potential for expansion in Brazil.
The consummation of the transaction is subject to the satisfaction of certain conditions precedent.
