Pinheiro Neto advises on Santa Clara Agrociência debenture issue

Pinheiro Neto represented Santa Clara Agrociência in its 3rd public issuance of debentures, carried out under the automatic registration regime pursuant to CVM 160.

The issuance comprised simple, non-convertible debentures, with in-rem guarantees and additional personal guarantee, structured in two series and totaling BRL 115 million.

The proceeds from the offering were primarily intended to refinance existing indebtedness (liability management), including the full redemption of the issuer’s prior debenture issuance and the prepayment of rural credit instruments (CPRs), optimizing the company’s capital structure and extending its debt maturity profile.

Pinheiro Neto acted as deal counsel representing Santa Clara Agrociência, Itaú BBA Assessoria Financeira, Banco Santander (Brasil) and Banco Rabobank International Brasil and relied partner Luiz Felipe Fleury Vaz Guimarães (pictured), associates Thiago Bento Petribu de Carvalho Cabral and Gabriel Pimentel Tavares Rodrigues.
