Bofill Mir counsels Enlasa on sale of shares to Empresas Gasco
Chilean law firm Bofill Mir Abogados has counselled Energía Latina (Enlasa) in the structuring and negotiation with Empresas Gasco, which culminated in the sale by Enlasa of its shares in the affiliated company Innovación Energía and Terminal Gas Caldera.
This transaction, initiated in April and closed on 4 August, was carried out through a mechanism of reciprocal purchase offers of shares in the company Innovación Energía; and a direct purchase and sale of the shares in the company Terminal Gas Caldera, which materialised through the granting of a Framework Agreement for the Sale of Shares. Under this agreement, the share sale and purchase contracts and the related contracts for the provision of transitory services were concluded.
The advice included the structuring of the reciprocal purchase offer mechanism to define the acquiring party of the Companies and the negotiation of all the necessary contracts to enable the acquirer to continue with the regular operation of the Companies.
The sale of 50% of the shares of Innovación Energía was for US$15,606,999, while the sale of 50% of the shares of Terminal Gas Caldera was for US$1,965,400. Garrigues Chile acted as advisor to Gasco.
