Bomchil counsels Aluar on issuance and exchange of Negotiable Bonds

Bomchil has counselled Aluar Aluminio Argentino in its issuance of zero-rate dollar-linked notes due September 2025, integrated in kind through the delivery in exchange of Notes Series No. 3, for a par value of US$58,538,915, as well as in the placement of Notes Series No. 4.

The issue took place on 7 September, where the percentage of adherence to the exchange offer was over 96.5%, and all of the remaining outstanding Series 3 Negotiable Obligations that did not enter the exchange.

SBS Trading and Banco Santander Argentina acted as exchange agents and arrangers; Macro Securities, Banco de Galicia y Buenos Aires, Industrial and Commercial Bank of China (Argentina) and Banco de la Provincia de Buenos Aires acted as exchange agents. Marval O’Farrell Mairal acted as legal counsel to the exchange agents.

The Series 4 Notes are authorized for listing and trading on the Argentine Stock Exchanges and Markets and on the Electronic Open Market (Mercado Abierto Electrónico).

Aluar is a nationally owned company managed in accordance with the most demanding international industry standards and in permanent evolution. Since its beginnings, it tripled its aluminium production capacity from 140,000tn thanks to a constant investment plan, which allows it today to fully supply the local market with approximately 30% of its produced volume, exporting the other 70% to countries such as the United States, Brazil, Japan and Germany, among others.
