Tauil & Chequer and Lobo de Rizzo act in project financing

Tauil & Chequer Advogados associated with Mayer Brown advised Concessionária Rodovias do Triângulo SPE (concessionaire of the Triângulo Mineiro Concession, Lot 1) and Concessionária Rodovias do Sul de Minas SPE (concessionaire of the Sul de Minas Concession, Lot 2), in the scope of their respective project finance.

Both concessionaires were established in the scope of the new partnership (joint venture) between Equipav Rodovias (a company of the Equipav Group) and investment vehicles managed and administered by the manager Perfin Administração de Recursos.

The financing was structured simultaneously through the 1st issue of debentures of each concessionaire, in the total amount of R$ 900 million, being the Triângulo Mineiro issue in the total amount of R$ 700 million and the Sul de Minas issue in the total amount of R$ 200 million.

The project finance structuring and debenture distribution for the Triângulo Mineiro issue were carried out by the banks Itaú BBA, Banco ABC Brasil and Santander, and for the Sul de Minas issue by the banks Santander and Daycoval, wich was advised by Lobo de Rizzo Advogados.

The concessionaires were the winning bidders of the auction of the roads of Lot 1 (Triângulo Mineiro – 627.4 km) and Lot 2 (Sul de Minas – 454.3 km), foreseen in the Highway Concession Program of the State of Minas Gerais, and the net funds from both issues will be destined to the initial costs and investments of each respective concession.
